Terms and Conditions for
Speaking Engagements and Workshops
These Terms and Conditions (“Agreement”) outline the legal agreement between the client or organization (“Client”) booking Warrior Women Inc. (“Company”) for a speaking engagement, live workshop, training, or related service (“Engagement”).
By booking, confirming, or making payment for an Engagement, the Client acknowledges they have read, understood, and agreed to these Terms. If the Client does not agree, they must not proceed with booking the Engagement.

1. Booking and Payment Policy
1.1 Booking Confirmation
Engagements are confirmed upon execution of a written agreement or receipt of a booking confirmation email and payment (or agreed deposit). Tentative bookings are not guaranteed and may be released if not confirmed in writing and with payment.
1.2 Payment Terms
- A non-refundable deposit of 50% of the total fee is required to secure the Engagement.
- Full payment is due 30 days prior to the Engagement date unless otherwise agreed in writing.
- Late payments may result in cancellation or rescheduling at the Company’s discretion.
1.3 Cancellation and Rescheduling
- Cancellations made by the Client 30 days or more before the Engagement will forfeit the deposit but are not subject to additional fees.
- Cancellations within 30 days of the Engagement will be charged 100% of the agreed fee.
- Rescheduling may be permitted based on mutual availability but is not guaranteed.
- Rescheduling requests must be made at least 14 days before the scheduled Engagement.
1.4Â Travel and Expenses
Unless otherwise agreed, the Client is responsible for travel, accommodation, and related expenses for in-person engagements. These must be approved by the Client and billed separately or included in the total fee.

2. Engagement Responsibilities
2.1 Client Responsibilities
The Client agrees to:
- Provide all necessary details, including event location, time, audience demographics, and technology setup requirements.
- Ensure the venue and technical setup (e.g., projector, microphone) are ready before the Engagement.
- Promote the event accurately using only approved materials provided by the Company
2.2 Company Responsibilities
The Company will:

Deliver the agreed content or keynote tailored to the audience and objectives discussed.

Arrive (or log in) on time and conduct the Engagement in a professional and respectful manner.

Provide any handouts or materials in advance, if applicable.

3. Intellectual Property and Usage Rights
3.1 Ownership of Content
All presentation materials, handouts, slides, methodologies, and frameworks are the exclusive intellectual property of Warrior Women Inc.
3.2 Recording and Distribution
- Recording of the Engagement is prohibited without prior written consent.
- If permitted, recordings may be used only for internal purposes and not for commercial resale or public distribution.
- The Client may not modify, distribute, or reuse content from the Engagement without express written permission.

4. Limitation of Liability
The Company is not liable for:

Technical failures or delays due to circumstances beyond its control.

Any indirect, incidental, or consequential damages arising from the Engagement.

The Client’s use of any materials or advice presented during the Engagement.
The total liability of the Company for any claims related to the Engagement shall not exceed the amount paid by the Client for the Engagement.

5. Force Majeure
Neither party shall be held liable for failure to perform due to force majeure events, including but not limited to natural disasters, illness, travel restrictions, or other unforeseen events beyond their control.

6. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of California, without regard to conflicts of law principles.
In the event of a dispute, both parties agree to attempt resolution in good faith, failing which the matter shall be resolved through binding arbitration under the rules of the American Arbitration Association.

7. Modification of Terms
The Company reserves the right to update these Terms at any time. Updated Terms will be provided to Clients for future bookings.
